De Filipps, CPA, PC” or “we” or “De Filipps University”) is the owner of www.defilipps.com and www.defilipps.com/shop (collectively, the “Site”).  By using the Site, you (“User,” “Attendee,” “Registrant,” “Participant,” “Purchaser” and/or “Customer”) agree to the following terms and conditions (the “Terms and Conditions“) and to Willard J. De Filipps, CPA, PC’s Privacy Policy, which may be accessed at www.defilipps.com/privacy.  If you do not agree to these Terms and Conditions, you should not use the Site. We may modify or amend these Terms and Conditions at any time so you should bookmark this page and check it often.

The material available on the Site (the “Content”) is for your personal, internal, non-commercial use and is intended for informational purposes only.  You may not copy, modify, distribute, reproduce, sell, post, download or otherwise use the Content in any form or in any medium, in whole or in part, without the prior written permission of Willard J. De Filipps, CPA, PC and shall be treated as non-proprietary and non-confidential.  By sending us such Submissions, you agree that such Submissions shall be owned by Willard J. De Filipps, CPA, PC, and, unless otherwise explicitly agreed in writing, Willard J. De Filipps, CPA, PC shall have no obligation to compensate you for the Submissions and may use the Submissions for its own use in its sole discretion.

User contact information and data provided during and after the each may be shared with the presenters and/or creators of the courses and/or products for which the user has registered and/or purchased for their individual marketing purposes.   Willard J. De Filipps, CPA, PC does not control how market data is used once it has been provided.

All intellectual property found on the Site, including, without limitation, trademarks, service marks, logos and copyrighted material are the property of Willard J. De Filipps, CPA, PC or third parties.  Except as explicitly stated herein, you are not granted any license or other right to use such intellectual property without the prior written consent of Willard J. De Filipps, CPA, PC or the applicable third party owner.

By registering for and participating in webinars, seminars and audio (i.e., “virtual”) conferences through the Site, you acknowledge that Willard J. De Filipps, CPA, PC may record such sessions and that you consent to such recording and Willard J. De Filipps, CPA, PC’s use of those recordings for promotional, training or other purposes.

Products and services purchased through www.defilipps.com/shop are subject to the following terms and conditions:

Professional services.  Terms and conditions of these services will be specified in individual engagement contracts and/or agreements set forth at the onset of the service and agreed-upon by all parties.

Returns and exchanges.  For all tangible products (such as seminar recording discs, printed materials, etc.), no “returns” are permitted.  We will offer a replacement product in exchange for any damaged/defective product if requested in writing within 10 days of order receipt (established by UPS tracking).  Customer is responsible for return shipping costs and fees; Willard J. De Filipps, CPA, PC will send replacement product free of processing and shipping charges.

Processing  & shipping fees.  Some products purchased through www.defilipps.com/shop are subject to a processing fee (in addition to a shipping fee).  This fee will be clearly identified during the check out process.  Shipping fees will be calculated based on weight, shipping distance and applicable UPS rates.  Products that are delivered electronically (i.e., via e-mail or electronic download) – such as Continuing Professional Education attendance confirmation certificates – will not be subject to either processing or shipping fees (unless otherwise specified on the product information page).  In the instance of Continuing Professional Education attendance confirmation certificates, the identified participant attendee must provide his/her direct e-mail address, complete the applicable Course Evaluation Form and therein provide the course validation keywords/phrases required.

Willard J. De Filipps, CPA, PC is accredited to offer Continuing Professional Education.  Willard J. De Filipps, CPA, PC is registered with the National Association of State Boards of Accountancy (NASBA) as a sponsor of continuing education on the National Registry of CPE Sponsors.  State boards of accountancy have final authority on the acceptance of individual courses for CPE credit.  Complaints regarding registered sponsors may be submitted to the National Registry of CPE Sponsors though its website:  www.learningmarket.org.

Continuing Professional Education is not available in connection with either the live or recorded versions of any De Filipps University presentation and will not be issued.

The Site contains links to other websites.  Willard J. De Filipps, CPA, PC’s approval or allowance of such links indicates no endorsement by Willard J. De Filipps, CPA, PC of such third party websites, services, products, policies or other information.  Willard J. De Filipps, CPA, PC is not responsible for, and cannot control, the content of those third party websites.  You should contact those third parties directly for information on their terms of use, privacy policy, and other relevant information.  By using the Site, you agree that you will not attempt to hold Willard J. De Filipps, CPA, PC responsible or liable for the content of such third party websites.

These Terms and Conditions and Willard J. De Filipps, CPA, PC’s Privacy Policy constitute the entire agreement between you and Willard J. De Filipps, CPA, PC with respect to your use of the Site.  You may not assign or delegate any of your rights or obligations under these Terms and Conditions.  These Terms and Conditions shall be governed by and construed and enforced in accordance with the laws of the State of Illinois applicable to contracts made and to be performed wholly within such state.  The courts of the State of Illinois shall have exclusive jurisdiction, including in personam jurisdiction, and shall be the exclusive venue for any and all controversies and claims arising out of or relating to these Terms and Conditions.  Willard J. De Filipps, CPA, PC shall be entitled to recover all reasonable costs and expenses, including without limitation reasonable attorneys’ fees, in the event Willard J. De Filipps, CPA, PC must commence any action or proceeding against you to enforce these Terms and Conditions, or to recover damages or obtain injunctive or other relief resulting from the alleged breach of any provision of these Terms and Conditions.  No waiver of any default or breach of any agreement or provision herein contained shall be deemed a waiver of any other default or breach thereof or of any other agreement or provision herein contained.  If any provision or portion of a provision of these Terms and Conditions is declared void and/or unenforceable, such provision or portion shall be deemed severed from these Terms and Conditions, which shall otherwise remain in full force and effect.
